Generally, bylaws do NOT have to be filed with the secretary of state of the relevant jurisdiction. Bylaws is essentially a contract between the corporation and its shareholders, and governs that relationship. It is basically an internal governing document. If, however, there is a conflict between the bylaws and articles of incorporation, the articles of incorporation will govern.

Bylaws are required to be keep on file according to the secretary of states office at the principal place of business address. It's the law.

without out bylaws, and operating rules, then its not an organization, it is simply a bunch of people going in different directions at the same time.

Yes.They can be incorporated the same way as in a non profit organization.
