A director is generally a manager or corporate officer.
Compliance means "following the rules". So the corporate officer would be responsible for ensuring the rules get followed.
This happens in two types of situations. First, corporate legal officers have to make sure the corporation follows all legal requirements and regulations. So, the compliance director would be responsible for seeing that all corporate paperwork was in compliance with local, state and national laws.
The other is where the corporation interacts with others for whom it could be liable. For example, I was the compliance manager for a company that used an outside affiliate sales force to market its products. My job was to make sure teh sales affiliates were following all appropriate laws and regulations, as well as our own internal policies, when they interacted with the public.
So, it could either be internal compliance with external laws, or external compliance with internal policies.
