The iphone for Cingular (A T&T) can be purchased at the apple store without any contracts and you will need to activate the iphone online at www.apple.com

However since you are already a existing Cingular (A T&T) customer you do not need to activate that iphone online but I recommend bringing the iphone you just bought from the
Apple store to a Cingular store for them to activate it in person. Just let them know you are upgrading your cell phone and wish to activate this phone as a replacement of your previous phone. They will need to replace your sim card because the iphone uses a different sim card version than the previous sim card.

That shouldn't be a problem. When Cingular purchased AT&T Wireless a couple of years ago, they worked hard to make sure there were no backward-compatability issues. Whether they succeeded or not is a matter of debate. However, when AT&T Landline bought Cingular later (I know, wild twists and turns, huh?), they also worked to avoid backward-compatability issues, and have succeeded much more reliably.
