This is a valid question mainly because of the word "Exactly", since nobody is Exactly sure what a "lady friend" really is! ... It obviously means different things to different people - and I suspect that's quite by design. I guess people use the term "lady friend" when they intend to remain Exactly vague about the Exact nature of their relationship with that person! ... Notice also the curious usage of the word "lady" in this case. It is yet another confounding amplifier intended to place a bigger twist of vagueness on things when one doesn't mean to be Exactly upfront. ... It could imply the full spectrum of possibilities from: a perfectly innocent and non-sexual relationship to "She is WAY too old to be my lover" all the way up to "Well, yeah I'm sleeping with her, though it's more like a casual relationship, and NO she ain't Exactly a s!ut either"! ... So as you can see, nobody "EXACTLY" knows! :-)

Its what parents call a girl when they see her hang out with their son but are unsure if she is simply a friend or their son's girlfriend so decide to take on a happy medum instead of simply calling her by her name. Or they might just not know her name.
