when it is running, all utilities are tied up until I delete it. It goes away unitl I shut down my internet and then it reappears.

While Dr Watson is a standard part of Windows, dr.waton.exe is not. It sounds like either a virus or a spyware that has infected your PC.

Run both a virus scanner and an anti-spyware program and that should clean it off.

If you need either, go to http:/download.com and look for AVG Free for virus scanner and Spybot Seek&Destroy for spyware scanner. Install and run both.

Download and use these programs:
Super anti-spyware
Ad-aware 2007
Spybot Search & destroy
Remove IT pro v4 - se
Whatever it is, it shall be deleted by one of these believe me.

It is part of Windows and it is an anti-virus program.
