I don't know whether it's absolutely necessary, but things will probably run much more smoothly or quickly if the cable company has the modem's MAC address.
When I had my cable upgraded, the technician who came out saw my modem and said he didn't see why everyone didn't go out and buy their own modem since it was the identical model the cable company installs. Perhaps some would rather let the cable company do everything--including installing their own modem--because they're intimidated by the connections, the tech jargon, and so on, even if they have to pay a few dollars a month to lease the modem.

are you goin to put this new modem in another room then the old computer ?? you may have issues getting the second computer online since most cable internet is set up to handle only one modem connection to your home, adding a second one is asking for problems. the solution would either be a wireless router for the internet for the second computer, or run a wire from existing modem to a ethernet switch , and feed both computers from that instead. cost less , run faster then a router, and has no set up time, just plug , and run ..

Nope. The cable modem doesn't have to be activated - Its your cable modem!
You will, of course, need to have an ISP to be able to USE the cable modem to get an internet service, but thats obvious.

Keep your old modem connected then make sure you can access the Internet. Once you can, go to Start > Run > type "cmd" > ipconfig /release. Once you do this, physically disconnect your old modem, put the new one in place, and then wait for your computer to renew its IP address via your ISP. This will register your new modem's MAC address.
If that fails, contact your ISP tech support.
