I am not sure but I think you will have to delete the 98 OS first then put the Windows XP cd otherwise the two systems might clash. Install XP and follow instructions. Let meknow if you have any luck because I want to try it on my Windows millenium desktop. I hope you have some luck.

if u want a fresh install, set the PC to boot from the CD Drive. Put the Windows XP CD into the drive and restart the machine. Then Follow the prompts or instructions
If you want to keep both windows 98 and Windows XP then Start ur PC. After Win98 loads up, put the Windows XP in the CD Drive. The Installation will start automatically if it doesnot open the CD Drive Folder and click on setup. Then follow the prompts or instrucions. You can also install a fresh copy using this method

To do that, just put the Windows 98 disc in the hard drive to install it. When it comes to it, it will ask you about formatting your disc drive, and go ahead and do that and it will wipe out the Windows XP and install the Windows 98. Simple as that.

Back up all your personal data from Win98.
Install xp by booting off the cd. Recommend a "Clean install"
If you want to run Win98 from within XP get a copy of Virtual pc from Microsoft. (Just in case a program doesn't like xp!) http://www.microsoft.com/windows/products/winfamily/virtualpc/default.mspx
Then if necessary you can install 98 into a "Virtual Machine"

Hello,
(ANS) As a very experienced computer user, who has used every version of windows since it was invented. I would advise you NOT too try to upgrade from within windows98 to XP.
**If your present PC that runs windows98 also meets the system requirements for Windows XP then I would advise that you wipe off windows98 first before you attempt to install XP.
**Remove or save your valuable files & data by creating backup's first, also saving any programs that you don't have on disk, CD or DVD, so you can re-install them again once you have XP working smoothly.
**Once you have backed up the 98 system, wipe windows98 by formatting or re-formatting the hard disk drive. Once you have wiped off Windows98, then you can install XP as if from new.
**XP Pro is probably the best version ever of windows in my humble opinion, XP is much better and faster even than Vista too.
**Once you have XP installed & working you can begin to re-install all your programs and files that you backed up before. This process is called a system rebuild and it can be quite a long job if done correctly. Duration could be as much as 4-5hrs if you have lots of software to re-install.
Hope that helps?
Kind Regards Ivan

A good guide from Microsoft itself:
http://support.microsoft.com/kb/316639
I would recommend a full installation rather than an upgrade. I would run the Windows XP Upgrade advisor to be sure your hardware is compatible. You can download it from here:
http://www.microsoft.com/windowsxp/home/upgrading/advisor.mspx
Or run from your XP installation disc. Good luck!
