Yes it is necessary, someone on the opposing team could read lips and figure out what they are gonna do.

They don't want the players and coaches on the other team reading their lips. They might be talking defensive strategy and/or what pitch they are going to throw next.

Some teams have been know to hire lip readers. Sometimes too with the noise it's easier to hear when the mitt focuses the sound.

Pitchers and catchers traditionally do not brush their teeth during the baseball season. By mid-summer, their breath is pretty awful. So, as a courtesy to each other, they cover their mouths to prevent each other from gagging on the smell of each other's breath. Strange, but true.
