i need more info... it looks like Socket 478.. but it could be LGA 775.... do you know the name and type of the motherboard

The CPU must use the same socket. Go the the manufactures website for your motherboard, and make sure that the motherboard supports the new CPU. Even if the socket is the same, sometimes and old motherboard will not support all CPU's. Often a firmware upgrade is necessary for it to recognize the new CPU. Faster CPU's require better heat sinks. Use a Heat sink and fan that are rated for the new CPU Using your original heatsink could damage your CPU

The pictures are too grainy to tell much about. The easiest way to find your chip is to click Start>All Programs>Accessories>System Information. The right side of the window that pops up will tell you your basic chip config.

There are softwares that can tell you what socket your mobo has. One of them is http://www.cpuid.com/cpuz.php
