PS2:

Play as Autobot (Protect) or Decepticons (Destroy)
Transform instantly whenever you want
Everything ca be destroyed and some can be used as weapons
Free-roam
Fly, Drive, Fight, and Shoot\Combat Variety

There's not a lot of difference. Mainly the graphics, slightly better on the ps2.
