The terms of the merger dictate how your ownership in the first firm will translate to the second firm. During the last merger I went through, I was offered the option of X number of shares in the new firm, or cash, or a combination of both. I took the cash, since I didn't want to be invested in the firm which purchased the one in which I had invested.
