Yes, you can upgrade. Guest Relations will be where you need to go to do an upgrades. These can be found both inside and outside of any WDW major theme park, at both Disney water parks and the two locations at DTD. You cannot do it at a Disney Store or at the airport. The one exception to this is at the International Gateway entrance to Epcot. That ticket booth is staffed and operated by Guest Relations and is in fact a Guest Relations location. Since you are wanting to upgrade to an annual pass, I believe you have to go to the park guest services, I don't think the resorts handle these upgrades.
One thing I can recommend, be sure that you want to upgrade to the AP. Especially if you enjoy the dining plan, with the AP pass you can't get the dining plan, packages, etc. Disney is also offering fewer room-only discounts and are trying to get more people to do the packages. They offer their best discounts with their packages, for example, if you had an AP you would be able to get free dining with your trip, unless you decide to pay the extra and get a one day base ticket for each person go. With the new prices of the tickets being so low on the longer passes, most people that don't go a lot find that it really doesn't save them much money.
I go to Disney often enough that it would be worth it for me to upgrade, but I like the dining, premium and platinum plans enough that I feel I do better just getting a package. So, before upgrading, I would do a little research to make sure it is the best way for you to go.
As long as you upgrade your tickets within 14 days of the first use, there shouldn't be any problems. After 14 days the tickets expire and can't be upgraded. As far as waiting till your dining is over, you shouldn't have any problems, but if you feel more comfortable and have the time on your last day, then you could wait. You could also ask guest services to confirm that you won't have any problems, since you have the dining plan.

Annual Passes used to be a bargain. We lived in the UK and would go 4 or 5 times a year. The new ticketing system encourages you to spend your entire vacation at Disney, which isn't a bad thing if you make multiple visits. Best bet: spend an entire vacation taking in everything Disney has to offer (10 day pass with water parks and Disney quest - forget the park-hopping and save your money). Next vacation buy an annual pass to Universal and one for Sea World if it takes your fancy. Universal Tip: even if you will never go during peak season and want to buy the cheaper annual passes, have the driver buy the full annual pass as you get free parking and 20% merchandise. Sea World Tip: Free beer in the tasting hall !!!!! Finally, find someone with a Florida address and apply for a Florida Driving Licence. You can then get a Florida Residents Annual Pass saving loads.

I think the best thing to do is to call guest services and talk to at least two different people (not everyone will know the answer to this question and you might be misdirected). I know the dining plan would be the thing that kill it, otherwise I would think it would be fine. Ask "Anita Answer" at www.allearsnet.com. She finds out all the complicated answers at the world. Best of luck.
Anyone can get an annual pass, Florida residents just get a good discount - to correct the answer above.

Go to the city hall at Magic Kingdom. It is actually guest services. They will be able to upgrade you if possible. We upgraded from seasonal to Yearly passes one year and they were great.

you cannot get the annual pass unless you are a florida resident, but if you are yes, you can upgrade but of course the price will increase, and just get the dining plan for more days while you are there. (i don't know if this is specific enough for you, sorry!!)
