Well, seeing as how Cap is dead and all....
Punisher wins by default.
All kidding aside, I believe that Cap would win this fight. he's a superior fighter and has the edge of the super-soldier serum coursing through his veins. He's an unstoppable fighting machine. Whereas, the Punisher is a decent fighter who uses guns.

Captain America is considered the premier fighter in the Marvel Universe. In hand-to-hand combat, there are few (if any) combatants that can match him. The Punisher's fighting skills are no where near those of Cap.
Cap's shield also represents the most advanced protective device ever created in his universe. It surpasses adamantium in it's ability to withstand untold forces applied to it and combined with vibranium... the user never feels the impact. It's only been damaged or destroyed a few times (Molecule Man, The God-like Beyonder and the Infinity Gauntlet. The Odinforce empowered Thor only managed to dent it).
Over the years the shield has withstood just about everything ever thrown at it. Throw in Cap's ability to effortlessly move toward his intended target while he's being blasted and he'll reach the Punisher in no time at all.
Cap takes this fight time and again.

Captain America would beat Punisher just by throwing his shield at Punisher and Punisher is knocked out.

Punisher runs out of ammo, wasting his fire on Cap's impenetrable shield. While he's reloading, Cap flings his shield at Punisher's knees and next thing Punisher is knuckling himself around town on one of those little dolly things, offering to wipe your windshield with a greasy rag.

Well, I guess logically...Captain America has gun and shield. He uses his shield as a type of bullet-breaking-danger-disc.
I don't do much comics, but offer you my logic.
