PCI devices can sometimes wake up a PC. For example, TV tuners with a recording schedule. Network activity can also wake up a PC. If you're plugged into a wired network, you may want to disable Wake On LAN features in your BIOS (you'll also want to disable Wake On PCI while you're there).
Also, sometimes wireless keyboards or mice can wakeup a PC. Again, this functionality is usually disabled in BIOS setup.

When that happened to me I had Windoze and I was spending too much time on Napster. Woke up one night to discover a user from Asia downloading all my files. My suggestion: you have a rogue trojan onboard and unless you know the name of that program so you can delete it, it takes a backup, reformat, reinstall. And, I'm talking about the computer unattended, starting on its own AFTER a successful Shutdown. If you computer restarts as soon as it Shutdown, then that is a Windoze problem that can be researched on the BillGatesBuddiesCorporateWebsite.

i had same problem, i fix it by geting new NIC and I connect my internet cable to the new NIC.
