Also, obviously the 640 mb one will be better, but the question is - are you willing to shell out some extra money??

Well the correct answer is "It depends".
Both the cards are great cards and offer excellent performance for their price...The difference between the two cards is only the memory buffer size and a difference of approx. $100...
If you play games on high resolution of say more than 1280 x 1024 then i would recommend you to buy the 640 MB version cause the larger memory buffer really helps a lot at high resolutions....but if you usually play games at resolution of 1280 x 1024 or lower then the 320 MB card is the right choice for you...in some games an overclocked 8800GTS 320MB version delivered better performance than the factory clocked 8800GTS 640MB at resolution of 1280 x 1024 or lower...

The 640mb version is better, but it really comes down to whether the performance difference is worth the extra $$$ for you- how much are you looking to spend?

The 8800GTS rocks. it could take care of any pastime of as we communicate with ease and can in all likelihood take care of many video games for some years yet back. the only issue i'm able to work out coming is that in case you prefer to run very extreme resolutions, then the 368mb version would possibly no longer decrease it.

More memory is better - like 640mb. it can process much larger chunks of data each second.
