Not sure why you would want exactly, as there are already a heap of free online chat clients out there, but here goes.
You would need to be at least proficient in a development language, be it C++,C#, VB, etc. and you would need to develop 2 primary components:
1. Server Component - which would be used to connect to from clients (ie users) this would live on a central server somewhere, with access to the internet.
2. Client Component - this is the chat program itself, that would be distributed amongst people to login to the server and communicate.
You will need a server platform, say you were doing this in C# or VB you could use Windows Server and you could use sockets to accept connections. It would be a good idea to have a database platform (such as SQL or MySQL) whereby you would store usernames/password, and retrieve them as the clients connect.
Basically the process would then be:
1. User signs up, and user/pass are stored in database, this could be via web page,
2. User installs client and logs in, client opens socket connection to server, server queries database and if all ok allows client to login
3. User sends message from client, server receives message and routes to other client.
So theres the answer, without getting into coding specifics.

like how to make a copy of it but customize it ? y n u would need to be a programmer and start off blank b/c u cant edit MSN Messenger. And y would u want 2 it sounds like u dont know much about computers. Programming is hard and time consuming. Most ppl dont have the paitence for it.

With a question like "how to make a msn messenger?" I doubt your smart enough to own a computer. You just download, register, and start.
