i have 2gb ddr2 ram. ati x1950xtx 512mb graphics card.
i wanna buy core2duo e6420 cpu or higher. whats the suitable mother board for this cpu

Any motherboards that support your CPU, but motherboards have chipsets to have different function to the motherboard i.e. SLI memory, SLI mode, or CrossFire mode.
Check out Intel web site.
But for a good close performance motherboards from all companies is the P35 since you're using a ATI card SLI will not help but only for Nvidia.
IF you're intended to go for Nvidia 680i motherboards, their speed and performance varies. So to be simple just pick the P965 or the P35. But remember P35 comes with two types of RAM slots i.e. DDR II and DDR III. DDR III is too expensive so please make sure you read the specs.
