I am a small biz start-up and I need to know what procedures to do to sell legitimately. Basically incorporation, licensing, and so-on.

Research, research, research – this cannot be stressed enough. Read as much as you can. Here are some book titles that are relevant:

* Small Business Start-up Kit for California by Peri Pakroo, Barbara Kate Repa
* How to Start a Business in California by Entrepreneur Press

Try this site. I live in Maryland and incorporated a couple of businesses through them. Was very happy with the process. They incorporate in all 50 states.

You can incorporate online in any state for a small fee. Check this resource out.

I would suggest go to www.leglzoom.com to get your LLC done. Most things can be done by them as well for a fee.

If your business is at present going a while and you are steadily making an income then register. Check on that. No reason for that if you just making transactions here and there.

Declare all your income on your private tax and you are still good!

you can't incorporate a small business, honey. they have rules and requirement.... like they require your company to be certain big size.... what you can do is to propose to some venture company.... if those guys think you have a good business model.. they will either lend you some money or buy your company.....
