What makes American CEO's and executives earn (including bonuses, etc) earn thousands of times more?

than the average employee? Are they that smart? Is one or few set of individuals deserve to make those kind of big bucks? Why aren't stock holders don't say anything?

CEO's earn what a corporation is willing to pay. In most cases, a board of directors, all large sharholders, decides how much a CEO will make. Some CEO's are the major shareholder of the corporation.
