Here's how it goes...
Lex Luthor and Doctor Octopus meet and team up. They manipulate their respective arch-nemeses into fighting each other. A one-sided battle, right? Well, what if Luthor hits Spidey with a ray that gives him strength to match Supes?
The battle goes back and forth between Superman and a hot-headed Spider-man, but as the effects of the ray wears off and Spidey unloads a series of ineffective blows against the Man of Steel. After Spider-man gives up (and breaking his hands), Superman convinces Spider-Man that they have been tricked into this battle, and the two team up to capture the real culprits...

Granted Superman has WAY more powers than Spidey but Spider is very resourseful. If they were fighting and Superman is the antagonist Spiderman would use his resources to beat Superman. Granted the Marvel Universe would have no access to kryptonite, but Superman has a weakness to magic and Spiderman has several allies that would give him access to those resourses. This would only happen if Spidermans Spider sense is fast enough to alert of anything Superman throws at him.
Sorry but I think Superman would win, but then be avenged by Doctor Strange.

I think Superman would win because he has all those super powers, but why would they fight? Both fight only to defeat the bad guys and rarely initiate the fight. I just can't see them fighting each other.
