All too often the reason for this is found in the home environment ... what is going on there? What is your position in the childs life? Teacher, friend, observer, parent?
What you should do depends on what authority/position you have.

It depends, is the student in elementary, middle school or high school? If that is the case then I would set up a meeting with that studen'ts parents and have teh student present as well. Sometimes parents are not aware of their children's progres in school and often times need someone such as a teacher to let them know their child's progress and status. Offer the student extra tutoring and help. If the student is a college student all you can really do is talk to the student and express your concern. Other than that it is up to the student to do the rest.

Try and find out what is keeping them from realizing their full potential. Speak to them and see if there is something going on with classmates, or at home. Maybe they aren't getting enough rest, maybe they are not motivated. It could be caused by anything from low-self esteem to laziness. The key is to speak to them, and if that doesn't work try and speak with the parent.
