The real difference between the two is just how the files are coded and stored. FAT32 is the old Win98 version, NTFS is the newer XP version. With NTFS, your computer can organize and store your files in a fashion where they can be found faster when needed. However, NTFS can only be used with Win2000 or XP. If you transfer files over from FAT32, expect some documents to be lost or unreadable. Backup all important files before upgrading! Good Luck

NTFS stands for New Technology File System
NTFS is the newer and more better and reliable of the two.

NTFS is New technology file system and FAT32 is File Allocation Table FAT32 is better if you are using the PC for personal use and does not require much of internet or server help NTFS is better for big offices where Servers are used and big time works are done

NTFS - is a file system which places your data more securely,with proper utilization of the HDD space(only supports windows operating system). commonly used for 2k+ o/s like XP, win 2000, win NT etc.
FAT(file allocation table)- Old file system in allocation of data, commonly used for DOS,WIN 95,WIN 98.
But becareful while installing Dual o/s on your PC since FAT doesn't recognises NTFS partition(drive).
I RECOMMEND YOU "NTFS" ON YA DRIVES.

NTFS is better than FAT32.
because it is built on new technology, and it provides more funtionalities than FAT32, for eg. disk quotas, file compression, file and folder level securities, and more.
