No, that motherboard uses socket AM2 which has 940 pins and will only work with a socket AM2 CPU. These are the newest CPUs that can use the new DDR2 type of RAM. This is the fastest but also the most expensive and you may not want to buy a new motherboard, new CPU and new DDR2 RAM.

You would need a socket 754 motherboard to work with that socket 754 CPU and these are getting hard to find. They have 754 pins and no pins in the center of the CPU if you look at the socket on the motherboard or underneath the CPU.

You would be better off with socket 939 if you are looking to save money or use some PC3200 (DDR400) RAM that you already have.

No, AM2's are 940 pins. It won't be compatible.
