NO. The minimum requirement for Vista basic is 512 MB, Vista Premium (Aero glass) requires 1 GB of RAM. Remember that the minimum requirement is just that,Vista will run but it's not going to be fast. My laptop has 2 GB and most of the time when the system is idle it's already used up around 600 + MB !!! and i've already shutdown services that wasn't needed.
EDIT: A Vista installation will use a good chunk of your 40GB hard drive already. You need to upgrade to a bigger hard drive if you want to install more apps later on. The mx4xxx video card need to be upgrade too, otherwise you won't be happy when you upgrade to Vista. For your system as of right now, you should only upgrade to the Vista Basic only.

Vista are meant for newer machine. It can work with 512mb ram but min. You need a good graphic card at least 256mb best 512mb ram in the graphic card. Depends on which version of vista u r running, if its basic and premium u can still manage to do normal stuffs. Stick to XP, I would say. Vista also comes in OEM(system builder) and 32bits and 64 bits version. Put ur specs of your system down so we can say whether its good or bad.
My vista (installed on a new machine as it dont work on my old one) works fine with a LGA775 m/b P965chip (gigabyte P965 S3) 3.2ghz CPU(save money upgrade CPU later) 2gb ram 400GB sata2 harddisk, 256mb DDR2 graphic card. You must also check whether your MSoffice u have or getting will work on vista. I have MSoff 2007 so it work ok. (Downside of this system CPU always fully used, must upgrade core 2 dual or extreme when got money)
I was quite upset when setting up vista as I did not find out more about it. Now my machine is Vista, I kind of enjoy it, (pls note I dont play games on it).
But if u r ready for Vista, go for it. Hope I gave u some rough idea and points to consider :) Your machine as I see with additional info cannot run vista, as aero graphic feature cannot run. My current ram usage isn nearly 700mb out of 2gb for normal running. Your harddisk space needs at least triple. My old machine was alittle better than that, I tried with Vista and it cant work properly.

if your thinking about installing vista, dont do it. I did and had to basically re do my whole computer. had to boot from xp disk and deleted all my files.
but if you already have it, go with atleast 2 gigs of RAM. you will need it. if your super hardcore, go with 4 gigs.
and the prefix giga means one 1,000 mbs. 1000 kbs is 1 mb.
so 768mb is not as good as 1gb

I recommend 2gb as a minimum. I have 2gb in my laptop and when I boot to the desktop it's using 45% of the memory. By the time Adobe, Quicktime, Microsoft and HP install all of their resident junk you won't have any memory left to run an application.

768mb is as good as 1 GB but as you will find in many reviews that vistat is a resource hungry operating system... so its better to have as much memory as possible... and yes... graphics processing happens in the graphics processor and the graphics memory so expect to face sluggishness in case u don't have a good graphics card.
