Can a 401 be rolled over to an IRA then use part of IRA to invest in stock in a non-public company> ex:LLC ??

Yes, in most cases, but stick with a brand name brokerage firm, like say Schwab, which has discount commissions, rather than a bank or insurance company. They are less flexible on the types of investments offered for an IRA account.

There may be ways to do it but they are rather complex and the rules must be followed exactly or else you will be taxed and penalized. Search for "Self-Directed IRAs".
