Can a person sue for anything, or for any reason if the other party backs out before a deal is sealed?

Deals (especially in real estate or corporate acquisitions) fall through all the time for myriad reasons. If nothing was signed and no money exchanged, then you were merely negotiating and no party was legally bound.

No...unless you can prove that they never intended to contract and only did it to harm you in some way...and you must prove damages...ie..you gave up on other jobs to negotiate this one..or you put alot of money into planning and preparing a proposal unless it is customary to do this in your line of work.

Nope. Nothing ventured- nothing gained. That's just the way some negotiations crumble. :)

You can sue for anything these days, but you need good evidence to win.
