You will need the following

two lan cards ,the computer connected to broadband must have two ,one would be connected to the router already .

Cross crimped cables

connect both the computers and use the network setup wizard on windows xp ,create a setup disk and run it on the windows 98 computer and ur done .

2 ways to do this, one is to set Internet connection sharing on the connection to the broadband. Then set the other machine to connect via the first. This can be a bit unreliable with a 98 machine. The best option is to buy a router, which allows the machines to set all their ip information automatically and takes the load of what would have been the gateway machine. To share folders and printers right click whichever folder or printer you wish to offer to the network and set it shared. Do not share the C: drive, it makes it very easy to accidentally destroy a machine remotely.

First you have to make a workgroup for the two pc's. Plug in the network card for both the PC's and make sure the network cable is connected for both of them.

Then, run the network setup wizard for both the PC's and make sure they are under the same workgroup name.

Then, simple share the files and folders that you want to share and they will be instantly available in the other computer.

You will have to install LAN cards on both systems. In case you make the Win-XP system as the host & Win98 as client then you have to install two LAN cards on Win-XP system one for the broadband connection through your ADSL modem to the LAN interface in the system and other for hosting the same connection to your Win98 system. you must use a cross cable for connecting your both systems. After this you have to configure your windows. First in the Win-xp (host): IP settings for the LAN card (for net connection) should be set as Obtain the IP automatically. Then the IP settings for other LAN card (for net connection sharing to Win98) manually configure its IP address (e,g. 192.168.0.15 ) and subnet mask. At last on the Win98 system again set its IP as Obtain the IP automatically. If the connections between the two systems is not shown please reboot your systems. For sharing hard disk contents both systems should be in the workgroup. In Windows XP you have to run network setup wizard from control panel whereas in Win98 it is not required. For sharing drives or folders, right click on the the drive or folder then click on Sharing & Security then share the folder by check mark then set the rights & permissions. On the other system go to Run from start menu then type the IP address of the PC from where you have to access drives or folders (e.g. \\192.168.0.10).

Connect an Ethernet switch to your ADSL modem and start sharing.
don't forget to assign correct TCP/IP settings in both machines.

Although sagarukin's method can be used you may not be able to do it on your own.
Getting a switch would easier then getting a crossover cable.
Although crossover cable would be ten times less costly.

On your WinXP you can go to Start>Help>type in Networking then click on Networking Walk through and it will tell you all you will need and their are other things in Help Section that should lead you in the right direction.
