In the comic series? Spider man was on an alien planet, he had been taken there by some other super group or something. Anyway, the suit got on him, and it was really handy at first (as it was like a chameleon, and could change it's appearance to look like regular clothes.)
Later on, Spider man discovers the black suit is an alien lifeform, symbiotic, and is taking control of him. The suit is removed from him by the fantastic four.
Later on, a newspaper reporter publishes a story that is proven to be false, thanks to spider man, and is consumed by revenge. By this point, I'm not really sure how, the black costume (which is an alien) has escaped captivity and in a church of all places, jumps upon the reporter.
The reporter then becomes Venom.
Okay, this is best as I can remember from reading comic books like fifteen to twenty years ago.

Yes the suit is an alien symbiotic life form, with an evil nature.
I doubt they will use the authentic storyline from the comics for the movie, sounds a bit too fantastic. Probably comes back on a spaceship, or a meteor.
Oh and don't forget guys that the suit is vulnerable to loud noises, thats how peter gets rid of the suit, with the churchbells, he then sticks it to a rocket about to lauch into space.

Spider-Man would win by a land slide. He can beat Venom without the suit. With the suit, he's more powerful, so it would be easier to beat Venom.

I haven't watched the movie but from some comic books i know that the black suit is actually the work of an alien thing and someone who hates spiderman (can't remember his name)

It is a reflection of his dark side, his hate, that drives the suit to become black..is still the "Peter Parker" character underneath and it produced the dichotomy of him having the choice of good vs. evil for his life.
