It is used to refer to a situation that would seem ethically wrong or improper.
An example would be like this:
You are a defense attorney and find yourself riding in the courthouse elevator with a prospective juror from your current case.
Do you:
1. Get off at the next floor.
2. Ride all the way to the courtroom floor with the prospective juror.
Answer 2 could look improper to anyone that saw you exiting the elevator with the prospective juror, and might lead to a mistrial if that juror was selected and later was in favor of acquittal.

The appearance of impropriety is literally anything that would cast doubt on the fairness and objectivity of the proceeding, case, issue, etc. For example: if a judge in a jury trial is seen schmoozing in the hallway with a juror, while this could be innocent, it could give the appearance of impropriety. The possibilities for appearance of impropriety are endless!

Blue Steel is right...i would just add that the appearance of impropriety often covers situations where there's no ACTUAL funny business involved, but where an onlooker might see the circumstances and suspect a judge or lawyer is biased or dishonest.

Can every person EVER bear in mind "no longer BEING"?????
