Well, it depends on the system and if it's powerful enough to run windows xp.
Here's what you need
PC with 300 megahertz or higher processor clock speed recommended; 233 MHz minimum required (single or dual processor system);* Intel Pentium/Celeron family, or AMD K6/Athlon/Duron family, or compatible processor recommended
128 megabytes (MB) of RAM or higher recommended (64 MB minimum supported; may limit performance and some features)
1.5 gigabytes (GB) of available hard disk space*
Super VGA (800 x 600) or higher-resolution video adapter and monitor
CD-ROM or DVD drive
Keyboard and Microsoft Mouse or compatible pointing device
That is what Microsoft says you would need. Now, to be honest, you're really going to need at least 256mb of ram, since windows xp alone uses 128mb and you wouldn't be able to do much else than run XP. Also, if you do decide to install XP on your system, you're going to want to whipe you hard drive and do a clean install. The upgrade install causes more problems than its worth. So, if you have a way to back up everything on your HD and meet the requirements, go for it. Either way, you need to change something because windows 98se isn't secure anymore since MS isn't supporting it anymore. If you don't have the minimum requirements for XP, consider Windows 2000, which still is supported, or consider Linux.

Depends....you need to understand the distinction:
Windows XP Service Pack 2 means a service pack for Wndows XP only.
Windows XP with Service Pack 2 upgrades and installs over most OS to Windows XP with Service Pack 2.

Well yes and no. There is a disc just for those people who already had Windows XP, and there was the disc with an installion of service pack 2 to install as an update. However, what your asking is sound. If you have a copy of windows xp and a working key code, yes, you should be able to upgrade. However, I will warn you, to run XP might require a few upgrades to your 98se computer. Get a few quotes and opinions on upgrading before you go through the upgrade process.

1st upgrade to XP then install the service pack 2. SP2 has fixes for XP.
