iron man, unless spider man turns the hose on him

Depends on the versions of both characters. Cosmic Spidey had enormous power.. He was able to punch a grey Hulk into Orbit. Ultimate Tony Stark was a thinking machine. His whole body was a brain and he could outsmart just about any other superhero. Given preparation, Iron Man wins. He'll come up with something. Remember that his suit took blows from the likes of Thor and Hulk. Spiderman would get destroyed by either. Without preparation, Iron Man still wins with mid to high difficulty. Spiderman just wouldn't be able to dent Iron Man's suit. Not to mention his durability isn't as strong as Tony's. Cosmic Spiderman is the only version of Spiderman capable of giving Iron Man a run for his money.

I would say Iron Man, he's super intelligent, he has super strength, he can fly, he's pretty much invulnerable. Just more powerful overall.
