i asked my co- worker for a dinner ! she said that she is flattered ! then she said that she is not intrested in . what is that mean. thank u

Maybe she thinks that you were asking her out on a date. She probably feels complimented that you find her interesting and attractive enough for you to ask her out. But she is not going to date you for reasons that she does not want to go into. Maybe professional reasons since this is a work situation and it is not a good risk to date people where you work.
Don't ask her again or try to get her attention any further because it could be interpreted as sexual harassment on the job. At some places you can't even ask someone out on a date the first time because of the sexual harassment lawsuit risk. Date outside of work and it will lower your risk for unnecessary additional grief in your life. Sounds like she is just being smart and kind.
