I guess they're a bit similar, but there are some differences. Heroes are more about understanding the characters (without masks) and their superpowers. Most importantly, how they actually fit in. It digs deeper into the the personality and history of a person first, but still their powers are slowly revealed to us as we learn more about their history.
To me, X-men dived into the characters and superpowers first, then they slowly reveal their history. So i guess 2 different approaches in telling a story.

Yes.
They both deal with people with unnatural powers trying to deal with their abilities.
The major difference, though, is that in X-Men there is someone to guide the mutants in coming to terms with their powers, whereas in Heroes they learn how to do it by themselves or with the help of someone close.

Yea except X-Men is more like mutants trying to gain acceptance with society and Heroes is more like people trying to find their inner selves. (deep)

In what ways? Not at all. X-men is much more stupid.
Heroes has a better plot.
