Have your clutch checked.

The neutral light will not go on, unless the trani pops back to neutral.
If the trani goes from 2nd and grinds trying to get to 3rd, you've already passed neutral and the neutral light switch will not be activated.
The grinding noise is the transmission gears trying to engage.
They're not engaging because a shift fork is worn or bent.
The trani will have to be repaired.
The clutch won't have any affect with the trani hanging up.
Bring your bike to a shop and ask a mechanic to take it for a ride to check it out (by-pass the service manager to try and save money) LOL

I think it is your clutch.
