Sempron 2800+, S754 - 256kb L2 cache, runs memory on single channel mode only. This is very cheap now as well as the corresponding motherboards. This is ok for a tight budget build w/ upgrade path on the processor very limited up to Sempron 3400+ only.

Sempron 2800+, AM2 - 128kb L2 cache, runs memory on single or dual channel mode. Partner this with a good, full featured motherboard and you will have no problems in upgrading even up to dual core processors.

Both run at 1.6Ghz and both are good overclockers. On a good board, no sweat in hitting 2Ghz.

The Socket 754 platform is done. You will not be able to upgrade to a new processor like the Athlon X2 dual-cores. (you can upgrade to an Athlon 64, but I don't believe AMD are making any more). Also the AM2 platorm supports tfaster and higher bandwidth DDR2 RAM while the 754 only accepts standard DDR. So in short 754 is older, slower and not really upgrade-capable. AM2 is the better choice.
