You need to refer to the constitution of the club. I would imagine there would be a clause in there which relates to the winding up of the club - probably througha vote of the members.

I would expect that the only way to stop it is to 'dismiss' the existing Committee -
You and your fellow members who wish to keep the club going will need to call an Extraordinary General Meeting and propose a Vote of No-Confidence in the Committee.
If you win, they will have to resign - and hopefully yourself and others who wish to keep the club going will then be elected to a new Committee and can act to resolve whatever issues are caused the Committee to start closing the club down.
