The Central Intelligence Agency (CIA) is an intelligence agency of the United States government. Its primary function is obtaining and analyzing information about foreign governments, corporations, and persons, and reporting such information to the branches of the Government. Its secondary function is propaganda or public relations, overt and covert information dissemination, both true and false, and influencing others to decide in favor of the United States Government. The third function of the CIA is as the hidden hand of the U.S. government, by engaging in covert operations at the direction of the President.[1] This last function has caused most controversy for the CIA, raising questions about the legality, morality, effectiveness, and intelligence of such operations.

The Federal Bureau of Investigation (FBI) is a federal criminal investigative, intelligence agency, and the primary investigative arm of the United States Department of Justice (DOJ). At present, the FBI has investigative jurisdiction over violations of more than 200 categories of federal crimes, making the FBI the de-facto lead law enforcement agency of the United States government.[1] The motto of the bureau is "Fidelity, Bravery, Integrity." In fiscal year 2006, the FBI total budget was approximately $5.7 billion, including $495 million in program increases to enhance counterterrorism, counterintelligence, cyber crime, information technology, security, forensics, training, and criminal programs.

The FBI's focus is essentially domestic (within the US) It is barred from operating on foreign soil without prior permission from that government. Also, the FBI reports to the Attorney General as a part of the Justice Department.

The CIA's focus is international. By law they are not allowed to operate on US soil except under conditions of martial law, apart from the administration/training divisions. They are not a part of the Justice Department but rather enjoy a special relationship whereby their director is roughly equal to both the AG and the Secretary of Defense.

Additionally, whereas the FBI is a law enforcement organization involved in investigations and arrests, the CIA is focused on gathering intelligence, establishing public and behind-the-scenes communication channels, and in "doing what is takes to keep this country free," often in hidden and sometimes violent ways, at the direction and discretion of the President of the United States.

The two agencies operate within this condition- It's illegal for a US entity to gather intelligence on US citizens.

So the CIA is an intelligence gathering agency that operates globally, but can't collect intel on US citizens. I think that caused a problem for ole J Edgar and hence the FBI (Investigation, not intelligence) was formed. The FBI can gather "information" on US citizens, given they have authorized investigations on-going and so on.

That's probably the most distinctive difference. You should do some studying on your own to get a complete answer.

Generally, the CIA attends to International matters and the FBI attend to domestic matters.
