I have seen a cover with Iron Man in a red white and blue suit of armor with Cap's shield on his arm.

Steve Rogers dead? ha. Let's keep this in perspective here. This is the same issue where Bucky is jumping rooftop to rooftop.
My respect for Marvel will increase tenfold if he stays dead, and i'm saying this as a HUGE Cap fan. It's all about the story, and having a major character die & stay dead is interesting.
As for his shield? I'm looking for it on Ebay.
Who should get it? Falcon. That would be cool. Finally a black character stepping out of the shadows, like Cage has started doing. Winter Soldier? Too obvious. Sharon Carter? Taskmaster? Red Skull? Crossbones? GW Bush?
Tony Stark will take it. Do you think he'll let a political/moral symbol like that out of his sight. He'll take it & give it to whom he chooses worthy (someone who will take the symbol of Cap & bring it to his side of the moral issue.) Ms Marvel? Clone Thor (that would just be wierd). It will be a token character, who will unknowingly take it in the wrong direction, dividing the issue once again.
Yep! You read it here first true believers!

Maybe someone has it right now I don't know for sure I don't read much Marvel anymore
but
on a radio show with a writer for Captian America
he said that ... Yes the big CA is dead right now, but he'll be back in 6-8 weeks
So I don't know what they'll do then if someone else has already claimed his shield, but I'd guess he'd reclaim it?

Technically, the shield as well as the chain mail suit (that’s what it’s made of) belong to the Federal Government, who originated and own the rights to the Captain America name. They can assign anybody they please to wear the suit and represent America and call themselves Captain America.
…but Steve Rogers brought honor to the role.

if cap is dead or not it will affect slaes at marvel and as for his shield i think the smithsonian should receive it or at least let either bucky, falcon or us agent have it. keep it away from terrorits like g w bush and cheney.
and for the super soldier serum it should be given to the walter reed army medical museum (not the hospital)
