I think it is ripoff. Especially for people who already have a 360 and what to get an upgrade. It will be cheaper to buy the accessories separately. You know like the add on HDMI port and the different size HDD. Plus the HD-DVD drive is still sold separately. So if you were somebody first time buying are 360, and you get this system and HD-DVD drive, you'll be paying about $678 for it. That's not even with tax included.
If the HD-DVD drive was already in the elite version for the $480, then I may take a consideration on it. Since it don't, I prefer people buy the premium version. This right here is another reason why the Blu-Ray is outselling HD-DVD.

First off, they will get some kind of trade-in bonus if they trade in a 360.
Second, Microsoft is obviously after the PS3 market. People with a lot of money to spend, not a lot of sense, and a big HDTV. The 360 Elite is only worth it if you plan on filling up that hard drive and you have a monitor that is HDMI compatible. Personally, I'm perfectly happy with my Premium Xbox 360 and have no plans to "upgrade" when all I'd be getting is the bigger HDD and the black case, it's just not worth it.

Apparently you don't understand business.
It's not a rip off. It's marketing.
$79.99 more for a 120gb harddrive and HDMI ports isn't that bad.
I own a 360 but I'm still reserving the Elite as soon as possible!
If you were smart, you kept getting a replacement plan for your 360, so that way now I can just cheat my way into only paying another $79.99 for an xbox 360 elite, while getting rid of my old box.
Seriously though, it's not a rip off, it's just business and Microsoft.

Gotta love Microsoft for their "creative" marketing. So they spray it black, upgrade the HDD which you can do yourself anyway and include HDMI and tack on a huge premium. What a way to shaft your core group that already forked over their money over the year. They should've included Wi-fi at least. I agree with you and think it's a complete rip off unless you never had an xbox 360 and crave black AND own an HD set. Yet you'd still have to purchase the white HD-DVD external drive if you want HD-DVD playback. So, is Microsoft going to sell an "elite" HD-DVD external drive for $280 just because it's black?
