This, I think, is a textbook example of an unevenly-matched fight, and is probably the reason that, as far as I know, Spidey has *never* been crossed over with Batman during a Marvel/DC crossover book.
Batman *might* win *if* it were on his home turf, and *if* he could prepare and research and figure out who Spidey was, and how to prey on his weak spots. For example, Spidey seems to not do too well in pitch blackness, although his spider-sense might still keep him out of harm's way. Peter also tends to lose his head whenever his family is threatened. Those are things that Batman could use to his advantage if he had the time to research and figure out who Spidey was.
But that's about it. If for some reason they were both suddenly stranded in a random place in Gotham and were forced to fight with no warning, Spidey would win hands-down. Fighting-wise, Batman isn't even at peak-human - not if you consider "peak-human" to be Daredevil's level. Again, Batman is at his best when he has the time to truly understand and analyze his opponent, so that he can then exploit their weaknesses. Without that, he doesn't stand a chance against actual super-powers.
(Incidentally, to the person who said that Spidey was just a souped-up regular guy... compared to a lot of other heroes, he *does* seem like a regular guy... but keep in mind that, with the exception of people like Wolverine and Ben Grimm, there really aren't that many heroes in either DC or Marvel who *don't* have genius-level intellect, and Spidey is no exception. He invented a molecular adhesive with an adjustable dispensation system (otherwise known as his webshooters) at the age of 15, after all).

I think they are a pretty even match. Spiderman would use his web to clog up some of the gadgets that Batman has, but Batman might have some tool up his sleeve that makes Spiderman's Spider sence go all wacky. But in the long run, if it would be a clean fight with a good amount of monologuing, it would be spider man. He is a true super human with a smart scientific brain. Though like I said, it would be a pretty even match.

It would be an interesting match,brain vs. brain. Batman's advantage is tactical and strategic while Spiderman is his sheer strength,agility, and powers particularly his web.If their place of match is strategically advantageous for Batman as like when he battled Superman luring him in a tunnel (Hush),Batman could win.
