Open up task manager, click on the shut down menu at the top and then choose turn off.
You could also try logging off first then shutting down.

I had a similar problem a while back. When you upgraded to XP, did you do a clean or dirty install? Have you installed any hardware in addition to the OS? Maybe XP has a conflict with an existing hardware device?
I had to clear the CMOS (I think thats what it's called) by toggling a switch on the motherboard and the problem cleared itself up.
Also go to the microsoft update site and check out if you need to update any drivers, it scans your system and shows what your missing.

Could well be something that's running in the background. Check the icons on the Notification Area (right hand end of taskbar, where the clock is). In my case it's a pop-up blocker that I have to exit before the pc will shut down or reboot.

windows xp dose that some time my pc was fine in the good/bad old days of 2000 & me it would shutdown i put xp on and i have to do a man shut it down its a pain but thats the way it is

I would try pressing ctrl+alt+delete and try shutting down from there. If that does not work then use the options in there to stop any tasks which may be running, then try again. If nothing else works then just switch the power off.
