To convert any drive from FAT32 to NTFS, go to CMD, type--> convert drive_letter: /fs:ntfs & then follow the instructions. Note, You cannot convert back, except possibly by use of Partition Magic 7.01, and that is not always successful.
This is an oft-asked question, and unfortunately, there is no clean or easy way of doing this. Some might ask why, and the answer to that is rather simple: FAT32 is an older file system, and Microsoft wants to move people away from it. NTFS is superior to FAT32 in almost every way, and there is no compelling reason for users to use it anymore. Converting NTFS back to FAT32 should be considered a last resort in all cases.

in order to give ur folder or file a security feature ,u need to have ntfs partition , this security feature is not available for fat file systems
fisrst thing is that u convert ur drive filesytem to ntfs ,this u can do without formatting u can keep ur data intact
âºrun->cmd
âºconvert :/fs :ntfs

See your users manual.
I believe there is a converter program on the XP system.
NOTE that this is a one-way transfer. It can NOT be undone.
BEFORE doing the conversion, back up any important files externally, just "in case".

You are going to have to reformat, Because that is what you are doing. You are switching the format.
