YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.

Lion,

It means that these people can do most anything that they want with regard to referrals without notifying you and without regard to the terms of the agreement that they have with you.

Secondly, they can bring in web sites that compete directly with you.

Third, what ever they have told you - if it is not in the written agreement referred here - you cannot rely on it.

Should you accept these terms? I can't tell from what you have here what you are getting from these people and what you are giving in return. But these terms as written are very one sided - against you - and in the other party's favor.

I suggest that you get professional help to review the terms of this agreement.

Good Luck,
Dana B.
