You'd be getting about 3-4mpg better fuel economy with the six. It's more than adequate power for the car. Personally, I think the 430 is overpowered.

Assuming this is a USA model (I assume so as the two you mention are typical US variants)- The engine as mentioned is the big difference. Other things to consider is that all CLK430's come standard with the sportier AMG styling and 17" wheels. These wheels include dry weather tires that may be a concern if you live in a snow region. Of course you could replace these with a suitable all-season tire.The 320's were not available with the sport package but the AMG wheels were available as a dealer accessory. The 320 will have brown burl walnut wood trimmed interior, The 430 may have the same but later years had the option of Black wood called "Black Bird's eye Maple". Exemption to this would be the "Designo" models that had more exotic options with special exterior paint colors and special leather interiors. This was an expensive option so these cars are generally rare. Other than this the two are very similar, even standard 320's were well equipped with power seats with memory, Thermotronic climate controls. Heated seats (If I remember) were standard on 430 , optional on the 320. Either choice is a fine car, if you want faster and sportier you want the 430. If your indifferent of course the 320 will save you a few $$$'s.

The 430 is more powerful but less fuel economic and the other way round. Except for the engine and minor cosmetic differences there is nothing to tell the two apart!

320 is more reliable and cheaper to maintain. If you go with a 320, buy 2000 or newer (1999 and older had transmission problems.)
I bought a 2000 E320 a couple of weeks ago and VERY happy with it.
