I was involved in the startup of a small design and build construction company in Texas. I was to be one of 3 partners, though we had no contract. When the company incorporated the "partner" that filled out and payed for the paperwork made himself sole owner. Later he agreed to give a new experienced partner a 50% share, still leaving me and one other partner out. I had already invested months of work in this company and was assured that I would be paid well for it. When the "experienced" partner later left the company they decided they needed my services again. We reached verbal agreement giving me one of the jobs I had done the majority of set up and design work as an independent on the condition that I travel with them to OK to help them secure a much bigger contract. I went to OK, got them their contract and signed my independent deal a few days later. I have not been paid for any of the design or sales work I have done for them, and they are trying to take my idependent deal away.

Get a lawyer, now. If you'd had one when you started all this you wouldn't need one now.
