if someone was a "director" for a company (say in 2002), can they also be made into "company secretary" (say in 2004), it just doesnt make sense. isnt DIRECTOR meant to be a higher rank than a COMPANY SECRETARY?? so someone who was DIRECTOR why would they ALSO be made into COMPANY SECRETARY.??? please help..!!

I was company secretary, director and vice chairman. Company secretary is a job and not a rank. They have responsibilities for the proper running of the company and filing of it's reports and therefore carry a certain amount of control and authority in the companies running. Outside of that they do not carry any authority unless they are appointed to the board as a director which most are.

It is sensible for the company secretary to be a director as they have an important input and are responsible for keeping the company legally correct.

But the margins are blurred - if a company director goes against the advice of the company secretary - it could amount to a criminal offence and would almost certainly lead the company into trouble.

You can be a director and a secretary of the company at the same time. A secretary mainly does the admin work such as calling Board Meetings, taking minutes of meetings etc. A director deals with the running of the company.

You don't have to be a director to be the secretary. a company can appoint any suitable person to be the secretary, it doesn't matter that they were previously a Director.

There is no reason why an individual cannot be either or at anytime. If someone sets up their own company and registers correctly, two names must be given to Companies House, there is nothing to stop a person being a company director or secertary and ranking is irrelevant quite frankly in any small business

I remember an education secretery from one african country applied as a stationery storeman in a company I work with!

and a forklift driver who is now a president of his country and was unchallenged in his second term!

being a director and receeded to secretary job isn't that bad at all! perhaps, he's qualification receeded too! thats why...

The Directors on the Board elect the officers and make decisions for the company.

The officers perform daily administrative functions.

One is not "higher" than the other.
