1. Reproduction - will only happen under two conditions: (a) it must be large enough to divide and (b) it must be a healthy cell (genetically damaged cells will enter a stage in which they will cease to reproduce... if they continue to reproduce, they may lose restrictive genes that prevent them from reproducing at appropriate times, resulting in cancer)
2. To prevent lysis (bursting) - the cell's bound to keep growing, and the 'adult' sized cell is the most evolutionarily advantageous, too big and it's likely to burst or be incapable of maintaining all its organelles

OR, depending on what exactly you mean in your question:

1. Internal signal - a cell is ready to divide (it's large enough, healthy enough, and has enough room), so it duplicates its genetic material and goes on through mitosis.
2. External signal - a body or tissue needs more of a certain type of cell, so it sends a signal to cause other cells to divide. If a cell senses that cells around it are damaged, it can send a signal to other cells to cause them to divide. There are exceptions, brain cells and heart cells are in a permanent G0 state, so they can't repair damaged tissue.

-uncontrolled growth, like in cancer cells
-reproduction --> bacteria divide in order to multiply and propagate (applies to everything)

One reason is that if it does not divide it will grow bigger and bigger and burst
