updating is when you improve a program you already have running......upgrading refers more to hardware, like memory or processors, getting better equipment

Updating just install Patches and Drivers things like that.
Upgrading is installing a newer OS or Hardware that require new Drivers, which may be install by a CD.
Say you "Upgrade" from Windows XP to Visa you may need to "Update" your Video Driver. But, you may decide you want to Upgrade your Video Card and install something better.
You Upgrade Software and Update Drivers. Windows will install Updates for Security, but, it still be the same Windows Version.

updating is usually done when there is a know problem that needs to be fixed quickly, upgrading is usually a combination of quick fixes combined with enhancements that the maker thinks you will benefit from, also most times updates are free but upgrades require purchasing somthing new

Updating usually means there is either minor fixes or options added to an existing program.
Upgrading usually means there is major changes\differences even perhaps a complete makeover of a Program or it's Version.
