I have tried running xcopy(for those of you know what xcopy is)in dos mode, but it says that it can't be ran under DOS, but I can't run it with Windows XP going, because some of the files are being used.
I need a program or some advice to convert and copy a FAT32 to a NTFS drive.

You can copy files from FAT32 to NTFS without any problems if you do not intend to copy OS and system files and try to use a drive as a boot drive.
What I understood is that you are trying to clone your drive and convert to NTFS so you can use a drive as your primary boot drive. You can either convert the drive first and then clone or clone and then convert.

To clone hard drive you can use one of the programs like:

To convert from FAT32 to NTFS you can also use a program like Partition Magic (commercial), or Cute Partition Manager (free).

Sir the Diffrance Between Fat32 And NTFS is Just Adiitional Security It is nothing worng with Fat32 data . Only way is Just copy From Fat32 and Paste to NTFS Folder.

If Program is not Working With OS go to Properties of that programme and Cheak Compatibily option Might use 256 Color for that program.

Open a command prompt and type in
CONVERT C: /FS:NTFS
The usual disclaimers apply, backup all data. I hope this helps.
This argument assumes C: is your drive with the OS.
