Have a romantic dinner at Las Brisas Mexican restaurant in Laguna Beach, then take a walk down to one of the secluded beaches off of Cliff Drive and propose there.
If the beach isn't your thing, the mountains might be nice. Try Big Bear.

I definately agree with everybody about going to the beach during the sunset, but what I propose is taking it a step further and going on a hot air balloon ride going over the beach and watching the sunset, And if you want take it a step further see if they will land on the beach for you guys, and you could have like a picnic waiting for you there. In the Inland Empire, go to Temecula and take her to a nice winery (South Coast, Thornton, Callaway, etc.). Nice scenery, especially this time of year.
OC? Try Dana Point, dinner at the Ritz Carlton overlooking the beach. Or if you're whimsy, maybe Disneyland.

In downtown Ventura, just above the beach, there's a GREAT steakhouse called the Aloha Steakhouse. I highly recommend it. If you go about an hour to an hour and a half before sunset, you can walk out of the restaurant and do it there just above the beach at sunset. The view from right in front of the restaurant is GORGEOUS. The view is lovely at night, too, because of the lights you can see from farther down the coast. Good luck!!

There is this really nice beach called 'Balboa Beach' and at that beach there is a really nice cliff that looks over the ocean. It looks absolutely gorgeous at sunset. You can see out over the vast ocean, and it just beautiful. there is also some steps on that cliff that you can walk down and there is a cute little cove with a very small private beach; not too may people go there.
Its a perfect place for a proposal.

Personally, I think the beach can be cliché (even though I like it)... and I know you're aiming more for the OC or IE, but how about the Observatory in L.A. (by Griffith Park)? It was recently renovated. You can plan a romantic dinner (variety of restaurants to choose from), look at the stars, and tell her she means the universe to you. Don't forget reservations!

Or... if you want something a little more down-to-earth, maybe the Huntington Library in San Marino. You can eat at the Rose Garden Tea Room, enjoy looking at thousands of species of flowers/plants in over a dozen gardens and if you like art, they have a good collection of paintings, sculptures, and rare manuscripts. Tell her she's the most beautiful of all.

If you want to go to San Diego for the day, how about Mount Soledad? There a 360 degree view all around, from the ocean to the mountains - on a clear day it's beautiful and you feel like you're on top of the world. I proposed to my wife elsewhere, but that's where I first told her I love her - and we'll both never forget it. Good luck.
